Marketplace Seller Terms & Conditions

Your contract is with TShirt Studio Ltd ("TSS") of Unit 7 Crompton Road, Groundwell Industrial Estate, SWINDON, SN25 5AY

You agree that e-mail will be used as the standard means of communication. If we need to contact you we will send you an e-mail to any/all email addresses we hold for you

You are not permitted to create and sell designs using any of the following types of content, unless you own the content and/or own a license to use it:

No Unofficial merchandise for example no using names or images of sports teams, athletes etc. without permission

No content downloaded from the internet

No Names or Logos of Companies for example Coke, McDonalds etc

No Trademarked taglines for example 'Im Lovin It', 'Just Do It' etc

No images of famous people. For example photos of Sean Connery, Madonna etc

No manipulated content for example using a company's logo as a basis of your design

No images of obviously identifiable copyrights for example Teletubbies, Peppa Pig etc

No sexually explicit content

No copying of previously published material for example books, magazines etc

If any marketplace design is in breach of any copyright, the cost of any breaches of copyright will be borne solely by the you

By creating your design you confirm to us the you are not breaching any other rights held by third parties

You release TSS from all claims which are made due to the infringement of such third-party rights, as far as you are responsible for the breach of duty

You shall reimburse TSS for all defense costs and other damages resulting from any such action

You grant TSS the right to use the uploaded design to produce items ordered from your marketplace shop

This right of usage is non-exclusive, and limited to the time a design is available for sale within your shop

Possible copyrights or other rights to a design provided by you remain with you

TSS is not entitled to distribute your designs in its own shop, or in shops of third parties unless you have expressly agreed to this

TSS is allowed to use the design for advertising purposes on or off the website. In such cases, TSS guarantees to link the design with your marketplace shop

If any third party asserts any claims due to infringement of their rights resulting from the use of one of your designs, TSS reserves the right to withhold commissions up to the final clarification of the legal dispute

You are obliged to immediately inform TSS in writing if claims are made against you due to the infringement of third-party rights resulting from the contents uploaded to your marketplace shop

If any third party asserts any claims to TSS due to infringement of their rights, then it is at our sole discretion to remove the contents objected to from the marketplace shop. We may also pass on your details so that these third parties may follow up the claims directly with you

Commissions earned by customer purchases in the marketplace will be payable to you after 7 days have elapsed from the time of shipping

You will be paid your commission into a Paypal Account and it is your responsibility to ensure we have the correct Email Address for these payments

TSS will generate Self-Billing invoices which we will email to you. It is your responsibility to account for these in a proper manner

You will need to provide a Current Name & Address for us to use when we generate a self-billing invoice

If we do not hold a valid address or Paypal Email for you then commissions earned shall not be paid until such time as we have this information

You must supply a VAT number if you want to receive commissions inclusive of VAT, in which case you shall be liable to pay these amounts to the relevant Tax Authorities

If you do not supply a VAT number you will receive commissions net of VAT and TSS will be liable to pay these amounts to the relevant Tax Authorities

TSS reserve the right to refuse commission payments at our sole discretion

TSS will pay all commissions due upon request within 30 days if you wish to close your account and stop selling merchandise through the TShirt Studio Marketplace

TSS will normally pay commissions due on a monthly basis, but reserve the right to pay these either more or less frequently at our sole disretion

We may amend these terms and conditions from time to time, and post the new version on the website www.tshirtstudio.com. All transactions from the date of posting onwards will be governed by that new version

TSS attempts to ensure that the information available on the website at any one time is true and accurate but cannot guarantee that it will be error-free. TSS does not make any warranty that the website is free from infection by viruses, trojans, worms or anything else that may have destructive properties.

TSS does not accept liability for any errors and omissions and reserves the right to change information, specifications and descriptions of listed goods, products and services.

TSS will do its best to correct errors and omissions as quickly as practicable after being notified of them.

TSS makes no representations about the fitness for a particular purpose of any of the products or services available on this website.

TSS does not accept liability for any indirect or consequential loss arising out of the use of the website or for any products or services purchased from the website.

TSS will only be liable for direct loss (save in the case of death or personal injury in respect of which there is no limit) up to a maximum total of the commission payable in respect of any claim.

This Liability section applies only to the extent permitted by law.

These terms and conditions contain the entire agreement between you and TSS relating to your marketplace seller account and related marketplace sale items. You are responsible for reading all information in these terms and conditions fully. If any of these terms are held to be invalid or unenforceable, those terms will be struck out and the other terms remain.

Every transaction made in the Marketplace shall be deemed performed in England. These Terms and Conditions shall be governed, construed and interpreted in accordance with the laws of England and Wales.
